Often getting the basics right in your business is key to driving efficient operations and avoiding legal battles. It’s the boring mechanics of the backroom structure that can make a world of difference. One of the key areas this idea applies to is positions. Positions can simply be described as what the employee is contracted to do. In legal terms, this often means the functions, duties, and responsibilities they have. A position includes the scope of an employee’s work – but excludes other things, like their hours. Writing positions in contracts One of the most important aspects of designing a position is to actually describe it in your contract. It’s crucial to give the position a title, but going beyond this and giving a detailed description can actually be a double-edged sword. For example, giving a detailed position of the work a bartender does could mean you miss some of the work you need them to do. If you include pouring beers, but not making cocktails, does that mean the bartender has a right not to make cocktails at work? The answer is to be less prescriptive with how you write positions into your contracts. Typically, a title implies what workers do, regardless of what their position description says anyway. You can assume a bartender is required to pour cocktails – what bartender wouldn’t? There are also duties that are on the edge of what a position is. These are less obvious and depend on many factors – but it’s still better to have a less prescriptive description. The simpler, the better. If you still need a position description, don’t make it contractual, and make it clear that the duties aren’t exhaustive and can be changed. Expectation Management Position descriptions are really an exercise in expectation management with your workers. Ultimately, it’s better to deal with your expectations outside of the contract with your employee – for three key reasons: Evolving business needs. Your business needs change all the time. Having what you require in a contract would mean you can get caught out with changing needs if you don’t regularly update your contracts. Employees want to develop skills. Many employees will actually want to move up in the business, and relish the opportunity to develop new skills and potentially get a pay bump. Having a tight definition of what they do can be a block to this. Some employees don’t want to exceed what’s in their contract. Sadly, some employees will game the system and try to avoid exceeding what’s in their contract. Having a specific list of what they need to do can promote this. Restructuring positions If you make any major changes to positions, you should do this with the employee’s agreement. Document these changes with a separate contract – keeping in mind it can’t change the minimum standards given by modern awards & enterprise agreements. There are other key rules to follow when restructuring too. Restructures have a significant effect on employees, and it’s crucial that you have a genuine consultation process with them. You’ll need to show that you took the employee’s feedback into account. Termination & Redundancy It’s important to remember that to make a position redundant, you must follow these three steps at a minimum Consultation obligations Show that it was unreasonable in the circumstances to redeploy the staff member Redundancy payout (unless an exception applies) Learn more Tanda recently hosted a webinar covering the ins and outs of positions by our Head of Product Compliance, Andrew Stirling. The Tanda Operations Module is an optional add-on to the Tanda Software which includes functionality such as checklists, audits and asset registry. The following terms (Terms), as well as the terms contained under the Tanda Terms & Conditions available at https://www.tanda.co/terms-conditions apply to the Client’s access to, and use of, the Tanda Operations Module. By accessing or using, or permitting access to or use of, the Tanda Operations Module, the Client is deemed to have accepted and agreed to be bound by these Terms from the date of first access and/or use by the Client or any of its End Users (Start Date). Terms capitalised in these Terms but not otherwise defined adopt the meaning given to those terms in the Tanda Terms & Conditions. LicenceFrom the Start Date until termination or expiry of the Tanda Terms & Conditions, Tanda grants to the Client a revocable, non-exclusive, non-transferable licence to access and use the Tanda Operations Module for its internal business purposes.FeesThe fee for provision of the Tanda Operations Module (Tanda Operations Module Fee) is calculated by reference to the number of active Employees listed by the Client for its account for the Software via the Tanda Web Portal. The Tanda Operations Module Fee rates per active Employee are available at https://my.tanda.co/account/.Tanda will, at the beginning of each monthly billing period, determine the Tanda Operations Module Fee by reference to clause 2.1(a) above, and the Tanda Operations Module Fee will automatically be varied accordingly and:included on the Client’s monthly invoices for the Access Fee for the Software; orwhere the Client pays the Access Fee in longer intervals, billed separately on a monthly basis.TerminationThe Client may cancel its subscription for the Tanda Operations Module for any reason by providing 1 calendar month’s written notice to Tanda after the First Payment Date.If the Client cancels its subscription pursuant to clause 3(a), then the Client will be liable for payment of all Tanda Operations Module Fees on a pro-rata basis for each day of the then-current billing period, up to and including the day of termination.DisclaimerDisclaimerThe Client acknowledges and agrees that:the various components of the Tanda Operations Module, including any associated commentary or guidance, do not contain or constitute legal advice;in respect of any templates within the Tanda Operations Module:the templates are provided by Tanda in a generalised form for use by Tanda’s diverse customer base;the templates are therefore made available to the Client without consideration of the Client’s specific operations or legal and regulatory obligations, and are intended to be further adapted by Client (as may be required) prior to use; andit is the responsibility of the Client to assess the suitability of the templates for use with any particular use case, and to seek independent legal advice to confirm same; andTo the fullest extent permitted by law, Tanda will not be Liable in any way for (and is released from) any Loss (including any Loss incurred by the Client or any current or former Employee of the Client) arising from its provision of the Tanda Operations Module.Indemnity The Client indemnifies Tanda and its Personnel from and against any and all Claims made against Tanda, and/or Losses suffered by Tanda, arising from or in connection with:the Client’s or its Personnel’s use, misuse, modification or adaptation of the content comprised in the Tanda Operations Module, including any templates provided; andthe interpretation of any content contained in the templates and their legality or intended effect.Variations Tanda may modify:the components making up the Tanda Operations Module offered by Tanda;the content of the individual templates comprised in the Tanda Operations Module; andthese Terms,in its sole discretion and at any time, without notice to the Client.

In a major underpayments case, the Federal Court has found that the Director and co-founder of a major franchise liable for underpayments from the businesses’ franchisees. The franchise is accused of short-changing workers in excess of $170,000, by failing to pay penalty rates. Under Fair Work legislation, Directors, founders and managers can be personally liable for underpayments – even if they had no knowledge of the underpayments. The franchise attempted to object on the grounds that they paid “Chinatown market rates” and didn’t understand the requirements or the Awards, but this was rejected by the Court. Judge Manousaridis clarified that it’s not necessary to prove the Director knew or believed that the conduct was unlawful – even though he found the Director did not think he made the Franchise engage in unlawful activity. The case heads to a penalties hearing later this month. Ignorance no excuse It’s an old saying that ignorance of the law is no excuse, and the principle again rears its head in this case. The Franchise claims not to be aware of breaches or of the provisions in the act were flatly rejected by the court. While most franchisors have a strong knowledge of the requirements of Awards, like penalty rates and entitlements, the case also shines a light on the importance of ensuring franchisees are compliant. Franchisor Compliance in the spotlight It’s one thing for everyone at head office to understand the rules, but it’s even more important that franchisees both know and are compliant with the specifics of Award rules. Many franchisors have taken to mandating compliance systems across their networks – or at least giving franchisees a choice of several systems – to stay on the right side of the law. The case underlines the importance of head office taking a rigorous attitude towards compliance right across the franchisee network.
